Terms and conditions

1. Applicability

These terms apply to all offers, agreements and services of 8eonAI, established at Heikestraat 5, 5386 LA Geffen, registered with the Chamber of Commerce under number 96119578.

2. The service

8eonAI designs, builds and maintains bespoke dashboards, AI agents and automations for the client, and keeps them running for the duration of the agreement.

3. Registered address

The registered address is Heikestraat 5, 5386 LA Geffen. (Amended compared to the July version, which stated "available on request"; for a website, disclosure is mandatory.)

4. Naming

One spelling is used throughout: 8eonAI, identical to the Chamber of Commerce registration, on the site, on invoices and in all documents.

5. Fees and invoicing

• Art. 5.1: The subscription fee is a minimum of €2,000 and a maximum of €30,000 per month. (The minimum has been raised from €500 to €2,000.)
• Art. 5.3: The fee is invoiced monthly in advance.

6. Term and termination

• Art. 6.2: The agreement can be terminated monthly with one calendar month's notice.
• Art. 6.3: The Cancellation policy forms part of these terms.
• Art. 6.4: In the event of repeated non payment, bankruptcy or serious breach, 8eonAI may suspend or terminate the services with immediate effect.

7. Access, keys and processing

• Art. 7.2: The processing of personal data is governed by the Data processing agreement applies, which forms part of every assignment.
• Art. 7.4: On termination, all login details and API keys received are deleted within 30 days. The client keeps their own accounts, data and API keys.

8. Intellectual property

• Art. 8.1: All intellectual property rights in what is built remain with 8eonAI.
• Art. 8.2: The client receives a non exclusive, non transferable right of use for the duration of the agreement.
• Art. 8.4 / 8.5: Rebuilding or having rebuilt is not permitted, subject to a penalty of €25,000 per breach.
• Art. 8.7: Buy out arrangement: a permanent right of use can be obtained for a one off amount. (New in the August version.)

9. Liability

Art. 10.1: Liability is limited to the amount invoiced in the three months preceding the event. This limit remains unchanged.

10. Governing law

Dutch law applies to all agreements.
